AFFILIATE PROGRAM TERMS

These Affiliate Program Terms ("Affiliate Terms") are a legally binding agreement between you ("Affiliate," "you," or "your") and Proxima Market LLC ("DigitivaHub," "we," "us," or "our") governing your participation in the DigitivaHub Affiliate Program (the "Program").

These Affiliate Terms are incorporated into and must be read alongside our Terms of Service, Privacy Policy, and any other applicable Policies. In the event of a conflict between these Affiliate Terms and the general Terms of Service, these Affiliate Terms control for Affiliates.

By applying for or participating in the Program, you acknowledge that you have read, understand, and agree to be bound by these Affiliate Terms.

1. Definitions

Affiliate: Any individual or entity approved by DigitivaHub to participate in the Program and promote Digital Products in exchange for commissions.

Commission: The monetary amount earned by an Affiliate for a Qualifying Transaction, calculated as a percentage of the transaction value as published in the Affiliate Dashboard.

Qualifying Transaction: A completed, non-refunded, non-disputed purchase made by a Referred Buyer through a valid Affiliate Link, where the transaction is not subject to reversal, fraud, or policy violation.

Affiliate Link: A unique tracking URL assigned to each Affiliate to identify and attribute referrals.

Clawback: The reversal or deduction of a previously credited or paid Commission due to a refund, chargeback, fraud, policy violation, or other qualifying event.

Cookie Duration: The period during which a referral is attributed to an Affiliate's Affiliate Link after a Referred Buyer clicks it.

Referred Buyer: A new, unique customer who clicks an Affiliate Link and completes a Qualifying Transaction within the Cookie Duration.

2. Program Eligibility and Application

To participate in the Program, you must:

  • Be at least 18 years old (or the age of majority in your jurisdiction)
  • Provide accurate, complete, and current registration information
  • Have a valid website, social media channel, or promotional platform
  • Provide valid payment/payout account details
  • Not be subject to any restriction, sanction, or legal prohibition that would prevent you from participating

DigitivaHub reserves the right to:

  • Approve or reject any application at its sole discretion
  • Revoke approval at any time for any reason
  • Require additional verification documents before activating or maintaining your account

3. Program Structure

3.1 How the Commission is Structured

DigitivaHub's Affiliate Program operates on a gross sale commission model. Your commission is calculated as a percentage of the Buyer's gross payment (before PSP fees, DigitivaHub platform fees, or reserves are deducted).

Standard Affiliate Commission Rate: 15% of gross sale amount.

This rate may vary by product category as published in your Affiliate Dashboard. DigitivaHub reserves the right to adjust commission rates with 14 days' notice.

Your $150 commission comes directly from the Vendor/Affiliate payout pool — not from DigitivaHub's platform fee. Your commission does not reduce DigitivaHub's margin.

3.2 Cookie Duration and Attribution

  • Cookie Duration: as published in your Affiliate Dashboard (standard: 30 days)
  • Attribution model: last click — the most recent Affiliate Link clicked before purchase receives the commission
  • DigitivaHub's tracking system is the sole source of truth for all attribution decisions
  • Referrals lost due to ad blockers, cookie consent refusals, browser restrictions, or incorrect Affiliate Link implementation are not eligible for commission recovery

3.3 Qualifying Transaction Requirements

A Transaction qualifies for Commission only if:

  • The Referred Buyer is a new customer who has not previously purchased on DigitivaHub
  • The purchase is completed within the Cookie Duration after clicking your Affiliate Link
  • The Transaction is not refunded, reversed, or disputed within the 60-day Commission Lock Period
  • The referral is not self-generated, fraudulent, or in violation of these Affiliate Terms
  • The Transaction is not flagged by DigitivaHub's fraud detection systems

4. Qualifying Transactions

A transaction qualifies for Commission only if:

  • The Referred Buyer is a new, unique customer who has not previously purchased on DigitivaHub
  • The purchase is completed within the Cookie Duration
  • The transaction is not refunded, reversed, or disputed within the Commission Lock Period
  • The referral is not self-generated, fraudulent, or in violation of these Affiliate Terms
  • The transaction is not flagged by DigitivaHub's fraud detection systems

5. Mandatory FTC and Legal Disclosure Requirements

This is non-negotiable.

You must clearly and conspicuously disclose your affiliate relationship with DigitivaHub every time you promote DigitivaHub products or services. This applies to:

  • Blog posts, articles, and reviews
  • Social media posts (Instagram, TikTok, X, YouTube, Facebook, etc.)
  • Email marketing and newsletters
  • Paid advertisements
  • Videos and podcasts
  • Any other promotional content

5.1 Disclosure Requirements

Your disclosure must be:

  • Clear and conspicuous — visible before the affiliate link, not buried in footers or "fine print"
  • Plain language — e.g., "This post contains affiliate links. I may earn a commission if you purchase through my link."
  • Present at the point of promotion — not just on a separate disclosure page

5.2 Consequences of Non-Disclosure

  • Failure to disclose is a violation of these Affiliate Terms and applicable law (including FTC guidelines)
  • DigitivaHub may immediately suspend your account, withhold pending commissions, and terminate your participation

6. Prohibited Conduct

You may not:

Fraud and Manipulation:

  • Self-referrals: clicking your own Affiliate Link or purchasing through it (directly or indirectly, including via family, friends, or related entities)
  • Cookie stuffing, click fraud, forced clicks, or any artificial inflation of referral counts
  • Creating fake accounts, fake traffic, or fake purchases to generate commissions
  • Incentivizing clicks through cash, prizes, or misleading promises

Brand and Content Violations:

  • Making false, misleading, exaggerated, or unverifiable claims about DigitivaHub or its products
  • Using DigitivaHub's trademarks, logos, or brand assets without prior written approval
  • Bidding on DigitivaHub's brand keywords in paid search advertising without written permission
  • Creating content that is defamatory, discriminatory, adult-oriented, or otherwise harmful

Technical Violations:

  • Modifying, cloaking, or misrepresenting Affiliate Links
  • Using malware, adware, spyware, or browser extensions to generate or override referrals
  • Bypassing or manipulating DigitivaHub's tracking systems

General Prohibited Conduct:

  • Promoting DigitivaHub on spam websites, unsolicited email campaigns, or prohibited platforms
  • Violating any applicable law in connection with your promotional activities
  • Engaging in any conduct that could damage DigitivaHub's reputation or business relationships

7. Commissions, Lock Period, and Clawbacks

7.1 Commission Earning and Status

Commissions go through the following stages:

Pending: Commission is credited to your Dashboard immediately after a Qualifying Transaction is recorded. Pending commissions are not payable and may be reversed at any time during the lock period.

Locked: All commissions remain locked for 60 days from the transaction date. During this period, funds are held by DigitivaHub to cover refunds, chargebacks, and fraud reviews.

Available: After the 60-day lock period expires with no dispute, the commission moves to "Available" status and enters the next monthly payout cycle.

7.2 Commission Lock Period — 60 Days

  • Commissions are finalized after a 60-day lock period from the transaction date
  • During the lock period, commissions are visible in your Dashboard as "Pending"
  • After 60 days with no refund, chargeback, or fraud flag, commissions move to "Available for Payout"
  • The 60-day lock exists because digital product chargeback windows can extend up to 120 days; 60 days covers the majority of dispute risk before any funds leave DigitivaHub
  • DigitivaHub may extend the lock period beyond 60 days for individual transactions under active investigation or dispute

7.3 Clawbacks

A Commission will be fully reversed (Clawback) if, within the 60-day lock period:

  • The Buyer requests a refund and it is approved
  • The Buyer files a chargeback
  • The Transaction is found to be fraudulent
  • The referral is determined to be self-generated or invalid
  • The Transaction violates these Affiliate Terms or DigitivaHub's policies

Clawback mechanics:

  • Clawbacks are deducted from your Pending balance first, then Available balance, then future earnings
  • If your balance is insufficient to cover a Clawback, you may be required to repay the shortfall directly
  • Clawbacks are applied per transaction and cannot be offset against commissions from other transactions
  • You will be notified of a Clawback via email and/or your Affiliate Dashboard

7.4 Chargeback Recovery — When DigitivaHub Wins

When DigitivaHub successfully contests a chargeback on a Transaction you referred, you are entitled to a partial recovery commission under the Chargeback Recovery Fee structure.

When DigitivaHub wins a chargeback representment, the recovered amount is split as follows:

Key points:

  • Your recovery commission (20%) is higher than the Vendor's (10%) because your referral quality directly contributed to the original sale
  • Without DigitivaHub fighting the chargeback, you would recover $0
  • Recovery commissions are credited to your Available balance within 14 days of the card network's final decision and are not subject to an additional lock period
  • Recovery commissions are paid in the next regular monthly payout cycle after being credited

7.5 Excessive Refunds or Chargeback Rate

If your referred Transactions show an abnormally high refund or chargeback rate, DigitivaHub may:

  • Suspend commission payments pending investigation
  • Reduce your commission rate permanently
  • Terminate your participation in the Program
  • Recover any commissions paid on fraudulent or invalid Transactions

8. Payouts

8.1 Payout Schedule

  • Payouts are processed on a monthly cycle (last business day of each calendar month)
  • Minimum payout threshold: $100 available balance
  • Only commissions in "Available" status (post-60-day lock, no active disputes) are included in payout calculations
  • DigitivaHub is not responsible for delays caused by banking institutions, payment providers, or incorrect payout details

8.2 Payout Conditions — Holds and Delays

Payouts will be held or delayed if:

  • Your account is under review, suspended, or subject to investigation
  • You have not completed required identity verification
  • There are pending Clawbacks or active fraud reviews on your account
  • Your payout details are inaccurate, outdated, or cannot be verified
  • DigitivaHub's payment providers impose holds or compliance requirements
  • Your commission balance includes funds from Transactions under active dispute

8.3 Taxes

  • You are solely responsible for reporting and remitting all taxes on commissions earned, including income tax, VAT, and any applicable withholding tax
  • DigitivaHub may withhold taxes where required by applicable law and will issue required tax documentation (e.g., 1099 for US-based Affiliates where applicable)
  • Nothing in these Affiliate Terms constitutes tax advice

9. Affiliate Links, Tracking, and Cookie Consent

  • You are responsible for implementing Affiliate Links correctly on your platforms
  • You must comply with all applicable cookie consent and privacy laws in your jurisdiction, including obtaining necessary consents before placing affiliate tracking cookies on your platforms
  • You acknowledge that affiliate cookies may require explicit user consent under GDPR/ePrivacy rules and that failure to obtain such consent is your sole responsibility
  • DigitivaHub is not liable for lost commissions resulting from users rejecting cookies or from your failure to implement tracking correctly

10. Brand Usage and Promotional Materials

  • DigitivaHub may provide approved promotional materials (banners, text links, product images) for use in your promotions
  • You may only use DigitivaHub's brand assets as provided and within the scope explicitly approved in writing
  • All goodwill arising from your use of DigitivaHub's brand assets inures solely to DigitivaHub
  • You must promptly remove any DigitivaHub brand assets upon termination of your participation

11. Representations and Warranties

By participating in the Program, you represent and warrant that:

  • You have full legal authority to enter into and perform these Affiliate Terms
  • All information you provide is and will remain accurate, complete, and current
  • Your promotional activities comply with all applicable laws, platform rules, and these Affiliate Terms
  • You will make all required FTC and legal disclosures in connection with your promotional activities
  • Your promotional platforms do not contain illegal, harmful, or infringing content

12. Indemnification

You agree to defend, indemnify, and hold harmless DigitivaHub and its affiliates, officers, directors, employees, contractors, and agents from and against any claims, damages, liabilities, losses, fines, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your promotional activities
  • Your failure to make required disclosures
  • Your violation of these Affiliate Terms, applicable law, or third-party rights
  • Any fraud, self-referral, or prohibited conduct by you
  • Your tax obligations or compliance failures

13. Account Suspension and Termination

13.1 DigitivaHub's Rights

DigitivaHub may immediately suspend or terminate your participation, with or without notice, for:

  • Violation of these Affiliate Terms or any applicable Policies
  • Fraud, self-referrals, or prohibited conduct
  • Failure to make required disclosures
  • Excessive Clawbacks or suspicious referral patterns
  • Any reason DigitivaHub deems necessary to protect the Program or its reputation

13.2 Your Right to Terminate

  • You may terminate your participation at any time by notifying us at support@digitivahub.com
  • Termination does not affect Commissions already earned and locked prior to the termination date

13.3 Effects of Termination

Upon termination:

  • Your Affiliate Links will be deactivated
  • Pending commissions remain subject to the Commission Lock Period and Clawback provisions
  • DigitivaHub may withhold final payouts for up to 90 days to cover post-termination Clawbacks
  • Surviving provisions (including indemnification, Clawbacks, disclosure obligations, and dispute resolution) remain in full force

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DIGITIVAHUB'S TOTAL LIABILITY TO AFFILIATE ARISING OUT OF OR RELATING TO THESE AFFILIATE TERMS WILL NOT EXCEED THE COMMISSION AMOUNTS PAID TO AFFILIATE IN THE 3 MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

DigitivaHub will not be liable for lost commissions due to tracking failures, cookie consent issues, browser restrictions, or technical factors outside DigitivaHub's direct control.

15. Program Changes

  • DigitivaHub may modify commission rates, cookie durations, lock periods, payout thresholds, and any other Program terms at any time with 14 days' written notice
  • DigitivaHub may discontinue the Program at any time with 30 days' notice
  • Continued participation after the effective date of any change constitutes acceptance

16. Governing Law and Dispute Resolution

Governing Law: State of Wyoming, United States

Arbitration: Binding individual arbitration under AAA Commercial Rules

Seat: Sheridan County, Wyoming

Class Action Waiver: Applies to fullest extent permitted by law

Small Claims: Allowed where eligible

Notice Period: 30 days written notice required before filing arbitration
